[미디어펜=편집국]미국 자동차업체 제너럴모터스(GM)가 또 배터리 공장 지분을 넘긴다. 이번 상대는 삼성SDI다. GM은 미국 인디애나주 뉴칼라일에 삼성SDI와 함께 건설해온 배터리 합작법인 시너지셀즈의 지분 49.99%를 삼성SDI에 매각하기로 했다.
삼성SDI가 보유한 기존 지분 50.01%와 합치면 공장은 삼성SDI의 100% 자회사가 된다. 그런데 비슷한 일이 처음은 아니다. GM은 2024년에도 LG에너지솔루션과 함께 건설하던 미국 미시간주 랜싱 배터리 공장의 지분을 LG에너지솔루션에 넘기기로 결정했고, LG에너지솔루션은 2025년 해당 공장 인수를 완료했다. 같은 현상이 두 번 나타난 셈이다.
GM은 배터리 공장 지분을 팔고 삼성SDI와 LG에너지솔루션은 이를 사들였다. 왜 자동차회사는 팔고 배터리회사는 사는 것일까. 답은 누가 배터리 산업에서 발을 빼느냐가 아니라 ‘공장’이라는 자산을 바라보는 두 업종의 계산법이 다르다는 데 있다.
GM에는 배터리가 자동차를 만들기 위한 핵심 부품이지만 삼성SDI와 LG에너지솔루션에는 배터리 생산시설 자체가 사업의 핵심 자산이다. 전기차 시장의 성장 속도와 배터리 수요처가 변하면서 한때 당연하게 여겨졌던 ‘완성차업체+배터리업체=50대50 합작공장’이라는 공식에도 변화가 나타나고 있는 것이다.
General Motors is once again transferring ownership of a U.S. battery manufacturing asset to a Korean battery partner. This time, Samsung SDI is acquiring GM's 49.99% stake in their Indiana battery joint venture, giving the Korean battery maker full ownership of the facility.
A similar move occurred with LG Energy Solution. GM agreed in 2024 to sell its stake in the Lansing, Michigan battery plant, and LG Energy Solution completed the acquisition in 2025.
The pattern raises a simple question: Why is GM selling while Korean battery manufacturers are buying?
The answer lies less in retreat from the battery business and more in the different value each side places on manufacturing assets. Batteries are a critical component for GM's vehicles, while battery factories themselves are core business assets for Samsung SDI and LG Energy Solution.

전기차 시장이 폭발적으로 성장할 것으로 예상되던 몇 년 전만 해도 자동차업체들의 최대 고민은 배터리 부족이었다. 전기차 생산량을 아무리 늘리고 싶어도 배터리가 없으면 자동차를 만들 수 없다. GM을 비롯한 미국 완성차업체들이 한국 배터리기업들과 손잡고 미국 곳곳에 대규모 합작공장을 건설한 이유다.
GM은 LG에너지솔루션과 얼티엄셀즈를 설립했고, 삼성SDI와도 인디애나주에 배터리 합작공장을 추진했다. 하지만 전기차 시장의 성장 속도가 당초 예상과 달라지고 배터리 공급망이 확대되면서 계산법도 달라졌다. GM이 배터리를 확보하기 위해 모든 생산시설의 지분을 직접 보유해야 할 필요성이 줄어든 것이다.
실제 GM이 2024년 LG에너지솔루션에 랜싱 공장 지분을 넘기기로 결정했을 당시에도 LG에너지솔루션과의 배터리 동맹 자체를 해체한 것은 아니었다.
GM은 오하이오주 워런과 테네시주 스프링힐의 얼티엄셀즈 공장을 계속 활용한다고 밝혔다. 당시 폴 제이콥슨 GM 최고재무책임자(CFO)는 회사가 전기차 시장 성장에 대응할 수 있는 배터리 생산능력을 갖췄다면서도 이를 보다 자본 효율적인 방식으로 운영하는 것이 중요하다는 취지를 강조했다.
이번 삼성SDI와의 관계도 비슷하다. GM은 공장 지분을 삼성SDI에 넘기지만 삼성SDI와 차세대 각형 배터리를 공동개발하는 새로운 계약을 체결했다. 따라서 GM의 전략을 단순히 ‘한국 배터리에서 철수한다’고 보는 것은 정확하지 않다. 오히려 공장을 반드시 공동 소유하지 않더라도 필요한 배터리 기술과 공급망을 확보할 수 있다는 방향으로 전략을 유연하게 바꾸고 있는 것에 가깝다.
Why Is GM Selling? Batteries Without Owning Every Factory
Several years ago, when EV demand was expected to surge rapidly, one of the biggest risks facing automakers was battery shortages. That prompted GM and other automakers to invest billions of dollars alongside Korean battery companies in U.S. joint-venture factories.
But as EV growth and battery supply conditions have changed, GM no longer necessarily needs an ownership stake in every factory to secure the cells it needs. The Lansing transaction illustrates this point. GM sold its interest in the Michigan facility to LG Energy Solution while maintaining its broader Ultium Cells partnership and continuing to use battery plants in Ohio and Tennessee.
The same logic can be seen in its relationship with Samsung SDI. GM is selling its manufacturing stake, but the companies have signed a new agreement to jointly develop next-generation prismatic battery cells. GM is therefore not simply abandoning Korean battery partnerships. It is separating factory ownership from battery technology and supply cooperation.

그렇다면 삼성SDI와 LG에너지솔루션은 왜 GM이 내놓은 공장을 가져가는 것일까. 배터리회사 입장에서는 미국 현지 생산능력 자체가 경쟁력이기 때문이다.
삼성SDI가 GM 지분을 모두 인수하면 인디애나 공장의 생산계획과 운영을 독자적으로 결정할 수 있는 여지가 커진다. 특정 완성차업체의 전기차 수요에만 맞추기보다 시장상황에 따라 다양한 고객과 제품에 생산능력을 활용할 수 있다는 의미다.
특히 주목할 시장이 에너지저장장치(ESS)다. AI 데이터센터 확대와 재생에너지 보급, 전력망 안정화 수요가 맞물리면서 북미 ESS 시장의 중요성이 빠르게 커지고 있다.
LG에너지솔루션의 움직임은 이런 변화를 더욱 선명하게 보여준다. LG에너지솔루션은 GM으로부터 인수한 랜싱 공장을 독자 생산거점으로 확보한 데 이어 올해 북미 생산시설을 활용한 ESS 사업 확대에 나서고 있다.
흥미로운 것은 GM과 LG에너지솔루션이 여전히 함께 운영하는 테네시주 얼티엄셀즈 공장에서도 일부 전기차 배터리 생산라인을 ESS용 LFP 배터리 생산라인으로 전환하고 있다는 점이다.
LG에너지솔루션은 북미에서 EV와 ESS를 아우르는 복합 생산거점을 확대하고 생산라인을 시장 수요에 따라 전환하는 이른바 ‘제조 유연성’을 강화하고 있다. 배터리업체 입장에서 공장은 더 이상 특정 자동차회사의 특정 전기차에 들어갈 배터리만 만드는 시설이 아닌 셈이다.
EV가 필요하면 EV 배터리를 만들고, ESS 수요가 커지면 ESS용 배터리를 생산하는 전략자산으로 성격이 바뀌고 있다. 이 때문에 같은 공장을 두고도 GM과 한국 배터리업체의 판단은 달라질 수밖에 없다.
GM에게 배터리 공장은 자동차 생산을 위한 수단이지만 삼성SDI와 LG에너지솔루션에는 그 공장 자체가 돈을 벌어주는 핵심 사업기반이기 때문이다.
Why Samsung SDI and LG Energy Solution Buy What GM Sells
Why, then, are Samsung SDI and LG Energy Solution willing to acquire manufacturing assets that GM is selling? For battery manufacturers, U.S. production capacity is itself a strategic asset. Full ownership gives them greater flexibility to allocate capacity across customers and applications rather than tying a factory primarily to one automaker's EV demand.
Energy storage systems are becoming particularly important as AI data centers, renewable energy deployment and grid investment increase demand for stationary batteries.
LG Energy Solution illustrates the shift clearly. After acquiring the Lansing facility, the company has continued expanding its North American ESS manufacturing network.
Even at the Tennessee Ultium Cells plant that it still operates jointly with GM, part of the EV battery capacity is being converted to produce LFP cells for energy storage systems.
For battery companies, a factory is increasingly becoming a flexible manufacturing platform that can serve EVs, ESS and potentially other applications depending on market demand.

GM이 LG에너지솔루션에 이어 삼성SDI와 추진한 공장에서도 지분을 넘긴다는 사실만 보면 한국 배터리기업들과 거리를 두는 것처럼 보일 수 있다. 하지만 실제 협력관계를 보면 정반대의 모습도 나타난다.
GM은 LG에너지솔루션과 배터리 협력을 계속하고 있다. 양사는 기존 파우치형 배터리에 이어 각형 배터리 기술개발로 협력범위를 확대했고 차세대 리튬망간리치(LMR) 배터리 기술도 공동 개발하고 있다.
삼성SDI와도 마찬가지다. 공장 공동소유 관계는 끝나지만 양사는 차세대 각형 배터리를 공동개발하기로 했다. 결국 변하고 있는 것은 ‘누구와 협력하느냐’가 아니라 ‘어떤 방식으로 협력하느냐’다.
전기차 시장 초기에는 완성차업체와 배터리업체가 수십억달러를 함께 투자해 공장을 공동 소유하는 것이 안정적인 배터리 공급망을 만드는 가장 확실한 방법이었다. 그러나 배터리 공급망이 커지고 EV뿐 아니라 ESS 등 새로운 시장이 확대되면서 공장 소유와 기술협력을 반드시 하나로 묶어야 할 필요성은 낮아지고 있다.
완성차업체는 막대한 자본을 모든 배터리 생산시설에 묶어두지 않고도 여러 배터리기업과 기술을 공동개발하고 제품을 공급받을 수 있다. 반대로 배터리기업은 공장을 직접 소유하면서 특정 자동차회사뿐 아니라 여러 고객과 EV·ESS 등 다양한 시장에 생산능력을 배분할 수 있다.
GM은 ‘공장을 직접 소유해야 배터리를 확보할 수 있다’는 부담을 줄이고, 삼성SDI와 LG에너지솔루션은 ‘미국 생산시설을 보다 자유롭게 활용할 수 있는 권한’을 확보하는 방향으로 이해관계가 맞아떨어지는 셈이다.
따라서 이번 삼성SDI-GM 거래는 한미 배터리 동맹의 균열이라기보다 전기차 시장 변화에 따라 배터리 동맹의 역할이 다시 나뉘는 과정으로 보는 것이 더 적절하다. 한때 전기차 시대의 공식처럼 여겨졌던 ‘완성차+배터리 합작공장’ 모델도 이제 새로운 단계에 접어들고 있다.
The Battery Alliance Isn't Breaking—Its Structure Is Changing
At first glance, GM's decisions to transfer manufacturing stakes to both LG Energy Solution and Samsung SDI might appear to signal a retreat from Korean battery partnerships. The broader relationship suggests otherwise.
GM continues to work with LG Energy Solution on multiple battery technologies, while its new agreement with Samsung SDI covers the joint development of next-generation prismatic cells. What is changing, therefore, is not necessarily who works with whom, but how they work together.
During the early EV boom, jointly owned factories were one of the clearest ways to guarantee battery supply. As supply chains mature and new markets such as energy storage expand, factory ownership and technology partnerships no longer need to be inseparable.
Automakers can preserve capital while maintaining access to battery technology and supply. Battery manufacturers can gain greater control over U.S. factories and allocate capacity across customers, EVs, ESS and other applications.
GM is reducing the need to own every battery manufacturing asset, while Samsung SDI and LG Energy Solution are gaining greater flexibility over production capacity. Rather than the breakdown of the U.S.-Korea battery alliance, the transactions may represent its evolution into a more flexible division of roles.
