18일 스페인 증권시장위원회(CNMV)에 제출된 테크니카스 레우니다스의 공식 공시에 따르면, 런던 중재법원은 지난 7일 MGT 티사이드에 컨소시엄에 1억2000만유로를 지급하도록 명령하는 최종 판정을 내렸다.
컨소시엄 지분은 테크니카스 레우니다스가 73%, 삼성이 27%다.
이번 판정으로 컨소시엄이 2021년 MGT 티사이드를 상대로 제기한 국제중재 절차도 종료됐다.
Samsung C&T has prevailed in a five-year arbitration dispute in the United Kingdom together with Spanish engineering company Técnicas Reunidas.
The dispute began after the client terminated an EPC contract when construction of a major biomass power plant was already more than 99% complete.
A London arbitration tribunal has ordered MGT Teesside to pay a net €120 million to the consortium formed by Samsung and Técnicas Reunidas.
According to an official filing submitted by Técnicas Reunidas to Spain's National Securities Market Commission (CNMV) on Sept. 18, the London arbitration tribunal issued its final award on Sept. 7.
Técnicas Reunidas holds a 73% interest in the consortium, while Samsung holds 27%.
The ruling brings to an end the arbitration proceedings initiated by the consortium against MGT Teesside in 2021.

분쟁의 시작은 약 10년 전으로 거슬러 올라간다.
삼성물산과 테크니카스 레우니다스 컨소시엄은 2016년 영국 북동부 티사이드(Teesside)에 대규모 바이오매스 열병합발전소인 티스 재생에너지 발전소(Tees Renewable Energy Plant·Tees REP)를 건설하는 EPC 계약을 수주했다.
발전소의 발전용량은 299MW다.
당시 계약금액은 약 7억유로로, 목재 펠릿과 우드칩 등을 연료로 사용하는 순환유동층(CFB) 보일러와 증기터빈을 갖춘 대형 바이오매스 발전 프로젝트였다.
문제가 발생한 것은 2021년이다.
MGT 티사이드는 발전소 공사가 99% 이상 완료된 상황에서 삼성물산·테크니카스 레우니다스 컨소시엄과의 EPC 계약을 해지했다.
발주처는 이와 함께 계약 이행과 관련한 보증도 실행했다.
컨소시엄은 이에 반발해 같은 해 런던에서 국제중재 절차를 시작했다. 계약 해지와 이행보증 실행의 정당성 등을 둘러싸고 발주처와 시공 컨소시엄 간 장기 법적 공방이 시작된 것이다.

The dispute dates back approximately a decade.
In 2016, a consortium of Samsung C&T and Técnicas Reunidas won an EPC contract to build the Tees Renewable Energy Plant, a large biomass combined heat and power facility in Teesside in northeast England.
The plant has a generation capacity of 299 MW.
The project was valued at approximately €700 million and included a circulating fluidized bed boiler fueled primarily by wood pellets and wood chips, along with a steam turbine and related facilities.
The dispute emerged in 2021.
MGT Teesside terminated the EPC contract with the Samsung-Técnicas Reunidas consortium when construction was already more than 99% complete.
The client also called performance guarantees related to the contract.
The consortium responded by initiating arbitration proceedings in London in the same year, triggering a prolonged legal battle over the contract termination and the enforcement of the guarantees.
▲5년 국제중재 끝났다…발주처에 1억2000만유로 지급 명령
5년 동안 이어진 국제중재의 결론은 삼성물산·테크니카스 레우니다스 컨소시엄 측의 승소였다.
CNMV 공시에 따르면 런던 중재법원은 지난 7일 MGT 티사이드가 컨소시엄에 순액 1억2000만유로를 지급해야 한다고 판정했다.
테크니카스 레우니다스의 지분은 73%, 삼성 측 지분은 27%다.
단순히 지분율만 적용하면 삼성 측 지분에 해당하는 금액은 3240만유로다. 다만 CNMV 공시는 삼성물산이 실제로 최종 수령할 금액을 별도로 명시하지 않았다.
따라서 삼성물산의 최종 수령액이 3240만유로로 확정됐다고 단정하기보다는 컨소시엄 지분 구조상 삼성이 27%를 보유하고 있다는 점까지 확인하는 것이 정확하다.
이번 판정은 단순히 배상금 규모 이상의 의미가 있다.
발주처가 공정률 99%를 넘긴 발전소의 EPC 계약을 해지하면서 시작된 대형 국제분쟁이 5년 만에 종결됐기 때문이다.
스페인 경제지 신코 디아스(Cinco Días)에 따르면 당시 컨소시엄은 계약 해지가 부당하다고 주장하면서 실행된 보증과 미지급 공사대금, 인증되지 않은 공사비용, 코로나19 팬데믹으로 발생한 추가 비용 등에 대한 보상을 요구했다.
런던 중재법원의 이번 최종 판정으로 2021년 시작된 중재는 공식적으로 종료됐다.

The five-year international arbitration has now concluded with an award in favor of the Samsung C&T-Técnicas Reunidas consortium.
According to the CNMV filing, the London arbitration tribunal ruled on Sept. 7 that MGT Teesside must pay the consortium a net €120 million.
Técnicas Reunidas holds 73% of the consortium and Samsung holds 27%.
A simple proportional calculation would correspond to €32.4 million for Samsung's 27% share. However, the CNMV filing does not separately specify the amount Samsung C&T will ultimately recognize or receive.
It is therefore more accurate to state that Samsung holds a 27% interest in the consortium rather than treating €32.4 million as Samsung C&T's confirmed final proceeds.
The significance of the ruling extends beyond the size of the award.
It brings an end to a major international dispute that began after the client terminated the EPC contract when construction of the power plant was already more than 99% complete.
According to Spanish business newspaper Cinco Días, the consortium challenged the termination and sought recovery of funds related to guarantees, unpaid work and additional costs associated with the COVID-19 pandemic.
The final London arbitration award formally concludes proceedings that began in 2021.

대형 해외 EPC 사업에서 발주처와 시공사 간 분쟁은 사업 수익성을 좌우하는 핵심 변수다.
특히 발전소처럼 건설기간이 긴 프로젝트는 원자재 가격과 인건비 상승, 공기 지연, 설계 변경뿐 아니라 코로나19와 같은 예상하기 어려운 외부 충격까지 발생할 수 있다.
공사가 거의 끝난 상황에서 계약이 해지되고 대규모 이행보증까지 실행되면 시공사 입장에서는 이미 투입한 공사비를 회수하지 못하는 동시에 추가적인 현금 유출까지 발생할 수 있다.
티스 REP 프로젝트가 대표적인 사례였다.
그러나 이번 판정으로 삼성물산과 테크니카스 레우니다스 컨소시엄은 발주처로부터 순액 1억2000만유로를 지급받을 근거를 확보했다.
삼성물산은 중동과 아시아, 유럽 등에서 발전·인프라를 비롯한 대형 EPC 사업을 수행하고 있다. 이번 사례는 해외 대형 프로젝트에서 발생할 수 있는 계약 해지와 이행보증 실행 등의 위험을 국제중재를 통해 다툰 대표적인 사례로 남게 됐다.
특히 2016년 약 7억유로짜리 발전소 수주에서 시작해 공정률 99%를 넘긴 뒤 계약 해지, 2021년 국제중재 돌입, 2026년 1억2000만유로 지급 판정까지 이어진 티사이드 프로젝트의 긴 분쟁이 마침내 종지부를 찍었다.

Disputes between clients and contractors are a major factor affecting profitability in large overseas EPC projects.
Long-duration projects such as power plants are exposed to raw material and labor cost increases, construction delays, design changes and unexpected external shocks such as the COVID-19 pandemic.
If a contract is terminated when construction is nearly complete and performance guarantees are called, the contractor can face both difficulties in recovering costs already incurred and additional cash outflows.
The Tees REP project became an example of those risks.
The latest arbitration award gives the Samsung C&T-Técnicas Reunidas consortium the right to receive a net €120 million from MGT Teesside.
Samsung C&T carries out major EPC and infrastructure projects across the Middle East, Asia and Europe. The Teesside dispute is a notable example of how contract termination and the enforcement of performance guarantees in a large overseas project can ultimately be challenged through international arbitration.
A project that began with an approximately €700 million EPC contract in 2016, followed by termination after more than 99% completion, arbitration in 2021 and a €120 million award in 2026, has finally reached its conclusion.
