[Mir's Business Made Easy] Why Are Better-Positioned Borrowers Returning to Banks? A Shift in Wall Street's Private Credit Market
Money is pouring into funds that lend directly to companies, yet attractive lending opportunities are becoming harder to find. That is the paradox now unfolding in the global private credit market, particularly in the United States.
Private credit refers to loans made directly to companies by investment managers rather than traditional banks. The market has grown rapidly because it can offer borrowers flexibility, speed and greater certainty of execution. Recently, however, some companies that previously relied on private credit have begun returning to the broadly syndicated loan market.
The shift is not occurring because private lenders are running out of money. Quite the opposite: investors continue to commit substantial capital to private credit funds, even as the volume of new loans declines. The balance of negotiating power is changing between lenders with abundant capital and borrowers able to secure more attractive terms elsewhere.
According to an October 15 Reuters report citing data from Preqin and PitchBook/LCD, direct-lending funds raised $129.15 billion during the first nine months of 2026, an increase of 35% from a year earlier. It was the highest total for the corresponding period since Preqin began tracking the data in 2016.
Meanwhile, estimated direct-lending volume fell 28% year on year to $49.77 billion in the third quarter.
More capital is entering the market, but less lending is being completed.
Understanding this divergence requires a closer look at how private lenders generate returns and why some corporate borrowers are returning to banks.
Plenty of Capital, Fewer Attractive Loans: The Private Credit Paradox
The basic structure of private credit is relatively straightforward.
Institutional investors, including pension funds, insurers and asset managers, commit capital to private credit funds. Fund managers then lend to companies, generating interest income that supports investor returns. Managers may also earn management and performance fees under the terms of their funds.
The key difference from traditional banking lies in the source of funding.
Banks generally make loans using funding sources that include deposits. Private credit managers, by contrast, rely primarily on capital committed by fund investors. They can negotiate directly with borrowers over interest rates, maturities, collateral and financial covenants.
For companies, private credit can provide financing with greater speed and flexibility, without the need to coordinate a large group of lenders. It can be particularly useful for smaller businesses or companies requiring customized financing for acquisitions.
That flexibility often comes at a price. Private credit loans can carry higher borrowing costs than broadly syndicated loans arranged through banks and distributed among multiple lenders and investors.
The competitive balance between these two markets is now changing.
During 2022 and 2023, financial market volatility encouraged more borrowers to move from syndicated loans into direct lending. This year, the flow has shifted in the opposite direction.
According to Reuters, $16.39 billion in direct-lending loans were refinanced through the broadly syndicated market in the third quarter of 2026. Only $2.60 billion moved from syndicated loans into private credit.
The amount moving back into the syndicated market was approximately 6.3 times the reverse flow.
Why does this matter to private credit managers?
Committed capital generally needs to be invested in loans or other eligible assets to generate the interest income supporting fund returns. Not all fundraising represents immediately available cash, and funds typically deploy capital over time.
Even so, a shortage of attractive lending opportunities can make it harder for managers to achieve their return objectives.
Raising large amounts of capital and lending that capital on favorable terms are two very different challenges.
Better-Positioned Borrowers Return to Banks. Who Bears the Remaining Risk?
The reason some companies refinance private credit loans through banks is simple: they can reduce their borrowing costs.
Consider a hypothetical company with a $1 billion private loan carrying an annual interest rate of 9%. Its annual interest expense would be $90 million.
If it could refinance the loan through the syndicated market at 7%, annual interest expense would fall to $70 million.
That represents a potential annual saving of $20 million before refinancing fees, prepayment penalties and other contractual costs.
Companies with strong credit profiles and stable earnings are more likely to attract competing financing offers. Businesses with weaker balance sheets or uncertain prospects may have fewer alternatives.
This creates an important question for private credit.
If borrowers with multiple financing options migrate to the syndicated market, companies with fewer alternatives could account for a greater proportion of the loans remaining in private credit portfolios.
Tarek Omar, chief investment officer of Royce Stone Capital, told Reuters that when borrowers with more options repay their loans, those with fewer alternatives become a larger share of the remaining borrower base.
That does not mean every company remaining in private credit is financially distressed.
Smaller businesses may find broadly syndicated financing unsuitable, while other borrowers may continue to value the flexibility and certainty offered by private lenders.
The concern arises when fund managers compete aggressively to deploy capital without adequately pricing borrower risks.
To attract borrowers, lenders may reduce interest spreads or relax collateral and contractual protections. Alternatively, they may seek higher-yielding loans that involve greater credit risk.
These risks are normally managed through covenants, collateral, leverage limits and loan pricing.
Sunaina Sinha Haldea, global head of private capital advisory at Raymond James, warned that the mismatch between fundraising and deployment could put pressure on lenders to make concessions in pricing, leverage or loan documentation.
However, it would be misleading to suggest that all new private credit loans are becoming less protective. Terms differ according to borrower quality, industry and transaction structure.
Ultimately, the amount of capital raised is not the decisive measure of success.
What matters is which companies receive the loans and under what conditions.
Why South Korea's Nearly 56 Trillion Won in Overseas Private Credit Matters
Changes in Wall Street's private credit market matter to South Korean investors because domestic financial institutions and pension funds have accumulated substantial exposure to overseas private lending.
According to data released by South Korea's Financial Supervisory Service in June 2026, overseas private credit investments by financial institutions and major pension funds and mutual aid associations totaled 55.9 trillion won as of the end of February.
That represented a 37.2% increase from 40.7 trillion won at the end of 2023.
Financial institutions accounted for 30.5 trillion won, while major pension funds and mutual aid associations held 25.4 trillion won.
Within the financial sector, insurers represented the largest group, with 20.6 trillion won invested. Private credit is one of the asset classes used by long-term institutional investors seeking recurring interest income.
However, higher contractual interest rates do not always translate into higher realized returns.
When borrowers repay their loans as agreed, investors can earn the expected interest income. But deteriorating business performance or defaults may produce credit losses.
Returns can also come under pressure if existing loans are refinanced or repaid early and managers must reinvest the proceeds at lower yields.
Alternatively, managers seeking to preserve headline yields may increase exposure to riskier borrowers, potentially raising future credit losses.
This is why borrower credit quality, collateral and contractual protections matter as much as the stated interest rate.
South Korean financial regulators have previously assessed the sector's overseas private credit exposure as manageable relative to total assets, with concentration and liquidity risks not considered excessive.
Greater competition in global private credit therefore does not automatically imply large losses for Korean financial institutions.
Nevertheless, it makes monitoring more important: which companies are receiving loans, how existing debt is being refinanced and whether new investments offer adequate compensation for their risks.
The most revealing aspect of the current market is that financial power does not always rest with those supplying capital.
When banks and private lenders compete, borrowers with attractive credit profiles gain negotiating leverage. That can benefit companies while making it harder for investors to earn the returns they previously expected.
For fund managers, the solution is not necessarily to lend more aggressively.
They must decide whether to deploy capital into available transactions or wait for opportunities that offer a better balance of risk and return.
In a market overflowing with money, the scarcest asset may not be capital itself, but companies trustworthy enough to lend it to.
