One of the most significant elements is stronger government oversight of foreign participation. The legislation creates a national council responsible for the industrialization of critical and strategic minerals and gives the government a role in reviewing changes in corporate control and certain international agreements and partnerships.

The Associated Press reported that the council would screen and approve certain forms of foreign investment and influence involving companies holding critical and strategic mineral rights, potentially giving the Brazilian government a de facto veto.

The development is noteworthy for POSCO, which entered into a strategic rare-earth partnership in Brazil just over a month ago.

Brazilian media reported that the companies are negotiating an offtake arrangement covering approximately 30% of Caldeira's output for up to seven years.

POSCO International and Meteoric agreed to discuss key commercial terms for a long-term offtake contract while also pursuing a potential equity investment linked to that agreement.

This leaves open the possibility of POSCO investing directly in Meteoric.

POSCO plans to connect the secured feedstock with its own separation and refining business, produce rare-earth oxides and supply them to permanent-magnet manufacturers in Korea and overseas.

Not Just Regulation — It Could Also Create an Opportunity for POSCO

It would be misleading to view Brazil's new framework solely as a negative development for POSCO.

Brazil's goal is not simply to block foreign capital. The government wants to prevent the country from remaining merely an exporter of raw minerals and instead create more value domestically.

The legislation therefore includes incentives as well as tighter oversight.

Brazil plans to establish a Mineral Activity Guarantee Fund with up to 2 billion reais in federal contributions and provide as much as 5 billion reais in tax incentives between 2030 and 2034 for domestic processing and transformation projects.

Projects linked to downstream supply chains, including batteries and permanent magnets, are among those expected to receive priority.

This is where POSCO's strategy and Brazil's industrial ambitions could potentially converge.

POSCO is not merely seeking ownership of a mine.

Its broader strategy is to secure a long-term supply of rare-earth materials from Brazil, connect them with its separation and refining operations, and ultimately strengthen its permanent-magnet supply chain.

Brazil, meanwhile, wants more processing and value-added mineral industries to remain inside the country.

If POSCO eventually proposes an investment structure that includes local processing or industrialization, Brazil's new policy could therefore become not only a regulatory hurdle but also part of a broader negotiation over investment and supply-chain development.

Two forces are now converging around POSCO's Brazilian rare-earth strategy:

tighter government control over foreign investment and a potential new supply-chain opportunity created by Korea's need to reduce dependence on China and Brazil's determination to build its own rare-earth industry.
