[미디어펜=편집국]고려아연 경영권을 둘러싼 최윤범 회장 측과 영풍·MBK파트너스 연합의 싸움이 다시 운명의 날을 맞았다.
9일 서울에서 열리는 고려아연 임시주주총회에서 양측은 독립이사와 감사위원 자리를 놓고 다시 한번 표 대결을 벌인다.
겉으로 보면 이사회 자리 몇 개를 놓고 벌이는 주총이다. 하지만 이번 표결은 조금 다르다.
지난 7월 시행된 개정 상법의 '합산 3%룰'이 대기업 경영권 분쟁의 한복판에서 본격적으로 작동하는 시험대이기 때문이다.
고려아연 지분을 누가 더 많이 확보했는지만으로 승자를 계산하기도 어려워졌다.
감사위원 선임에서는 최대주주와 특수관계인의 의결권이 합쳐서 3%로 제한되기 때문이다.
100주를 가진 대주주와 3주를 가진 주주가 특정 표결에서는 똑같이 3주만 행사하는 상황이 발생할 수 있다는 의미다.
더 흥미로운 변수는 한화다. 국민연금이 양측 감사위원 후보 모두에게 찬성하면서 사실상 중립적인 선택을 한 가운데 고려아연 지분 7% 이상을 보유한 한화그룹의 표심이 승부를 가를 핵심 변수로 떠올랐다.
오늘 고려아연 주총은 단순히 최윤범과 MBK 중 누가 이기느냐를 가르는 싸움이 아니다.
개정 상법 이후 한국 기업의 경영권을 결정하는 '새로운 수학'이 실제 주총장에서 어떻게 작동하는지를 보여주는 첫 시험대가 될 수 있다.

Korea Zinc's long-running control battle reaches another critical moment on Sept. 9 as Chairman Choi Yun-beom and the Young Poong-MBK Partners alliance face off at an extraordinary shareholders' meeting.
At first glance, the vote concerns only a handful of independent director and audit committee seats.
But this meeting carries much broader significance.
It represents a major real-world test of Korea's newly revised Commercial Act and its aggregated 3% voting rule in the middle of one of the country's fiercest corporate control battles.
Under the rule, the voting power of a controlling shareholder and related parties can be capped at a combined 3% when electing certain audit committee members.
That means simply counting who owns more shares no longer necessarily predicts who wins.
The most intriguing variable may be Hanwha.
With the National Pension Service supporting candidates from both camps, effectively diluting its role as a decisive swing voter, attention has shifted toward Hanwha Group and its substantial Korea Zinc holdings.
Today's vote therefore goes beyond deciding whether Choi or MBK wins another round.
It could reveal how the mathematics of corporate control in Korea has changed under the revised Commercial Act.

기업 경영권 분쟁의 기본 공식은 간단하다. 주식을 많이 가진 쪽이 유리하다. 하지만 오늘 고려아연 주총에서는 이 공식이 그대로 적용되지 않는다.
핵심은 감사위원이 되는 독립이사 1명을 선출하는 표결이다. 최윤범 회장 측은 백인규 단국대 교수를, 영풍·MBK 측은 박유경 전 APG 아시아·태평양 책임투자·거버넌스 총괄을 후보로 내세웠다.
이 자리에는 개정 상법의 합산 3%룰이 적용된다. 최대주주와 특수관계인이 보유한 지분을 합쳐 의결권을 최대 3%까지만 행사하도록 제한하는 제도다.
문제는 누가 누구와 묶이느냐다. 영풍과 MBK는 고려아연 지분을 함께 확보하며 공동보유 관계를 맺고 있지만 자본시장법상 공동보유자와 상법상 특수관계인은 반드시 같은 개념이 아니다.
이에 따라 영풍과 MBK의 의결권이 감사위원 선임 과정에서 어떻게 계산되는지가 승부의 중요한 변수로 떠올랐다.
최윤범 회장 측 역시 마찬가지다. 최 회장과 우호주주들이 확보한 지분 전체를 그대로 투표에 사용할 수 있는 것은 아니다.
결국 이번 싸움에서는 '몇 %를 가지고 있는가'보다 '그중 몇 %를 실제로 행사할 수 있는가'가 더 중요하다.
경영권 분쟁의 계산법 자체가 달라진 것이다.
More Shares Don't Necessarily Mean More Votes
Corporate control battles normally follow a simple principle:
The side with more shares has the advantage.
That formula does not apply neatly to today's Korea Zinc vote.
The critical contest concerns the election of an independent director who will also serve on the audit committee.
Choi's camp has nominated In-gyu Baek, a professor at Dankook University, while the Young Poong-MBK camp has nominated Yoo-kyung Park, formerly responsible for Asia-Pacific responsible investment and governance at APG.
The revised Commercial Act's aggregated 3% rule applies to this vote.
The rule can limit the combined voting power of controlling shareholders and related parties to 3%.
The crucial question therefore becomes which shareholders are legally grouped together.
Young Poong and MBK have acted together in accumulating Korea Zinc shares, but the definition of joint holders under capital-markets rules does not necessarily correspond exactly with related parties under the Commercial Act.
The same complexity affects Choi's side.
Not all shares regarded as friendly to management can necessarily be exercised without restriction.
The decisive number is therefore no longer simply how much stock each camp owns.
It is how much of that stock can actually vote.

당초 가장 강력한 캐스팅보터로 꼽힌 곳은 국민연금이었다. 국민연금은 고려아연 지분 약 5.5%를 보유하고 있다.
경영권 분쟁에서 어느 한쪽을 선택한다면 상당한 영향력을 행사할 수 있는 규모다.
하지만 국민연금은 이번 감사위원 선임에서 최윤범 측 백인규 후보와 영풍·MBK 측 박유경 후보 모두에게 찬성하기로 했다.
승부의 저울추가 다른 곳으로 이동한 이유다.
중심에 한화가 있다. 한화그룹 계열사들이 보유한 고려아연 지분은 7.69% 수준이다.
시장에서는 3%룰을 적용한 뒤에도 한화 측이 실제 행사할 수 있는 의결권이 약 5.9%에 이를 수 있다는 분석이 나온다.
여기서 재미있는 역설이 생긴다.
어떤 대주주는 훨씬 많은 주식을 보유하고도 3%만 행사하는 반면, 여러 법인을 통해 지분을 보유한 전략적 투자자는 그보다 강한 영향력을 행사할 가능성이 생긴 것이다.
한화와 고려아연의 관계도 단순하지 않다. 양측은 배터리 소재와 수소, 자원순환 등 미래 사업에서 전략적 협력 관계를 구축해왔다.
따라서 한화의 선택은 단순한 기관투자자의 찬반 투표와는 성격이 다르다.
한화가 어느 후보를 선택하느냐에 따라 이번 표 대결의 균형이 움직일 가능성이 있다.
오늘 주총을 앞두고 '한화가 누구의 손을 들어줄 것인가'가 주목받는 이유다.
Hanwha Emerges as a Potential Kingmaker
The National Pension Service was initially viewed as the most powerful swing voter.
It owns roughly 5.5% of Korea Zinc.
In a closely contested corporate-control battle, that would normally provide considerable influence.
But the pension fund has decided to support audit committee candidates nominated by both camps.
Attention has consequently shifted elsewhere.
Hanwha Group has emerged as a particularly important variable.
Hanwha affiliates collectively hold approximately 7.69% of Korea Zinc.
Market estimates suggest that after applying the relevant voting restrictions, Hanwha-related entities could still exercise roughly 5.9% of voting rights.
That creates an unusual consequence.
A controlling shareholder with a much larger economic stake may be restricted to 3%, while a strategic investor holding shares through separate entities could potentially exercise greater influence.
Hanwha's relationship with Korea Zinc also extends beyond passive investment.
The companies have cooperated in areas including battery materials, hydrogen and resource recycling.
Hanwha's decision therefore carries strategic as well as financial significance.

특히 고려아연은 이를 시험하기에 극단적인 사례다. 최윤범 측과 영풍·MBK 측이 장기간 막대한 자금을 투입해 지분을 확보했고 국내외 기관투자자와 전략적 투자자까지 양 진영 주변에 포진해 있다.
그런데 법이 의결권의 계산법을 바꾸면서 경제적 지분율과 실제 투표력이 달라졌다.
해외에서도 이번 표결을 주목하고 있다. 블룸버그는 이번 주총을 앞두고 고려아연을 둘러싼 '지배권 전쟁(Battle for Control)'이 다시 격화하고 있다고 평가했다.
단순한 이사 선거 이상의 의미가 있다는 것이다.
이번 한 번의 표결로 고려아연 경영권이 곧바로 어느 한쪽에 넘어가는 것은 아니다.
그러나 감사위원 선거 결과는 향후 이사회 역학과 양측의 경영권 경쟁에 영향을 줄 수 있다.
더 큰 관전 포인트는 따로 있다.
오늘 주총이 끝나면 우리는 처음으로 실제 숫자를 갖게 된다.
누가 몇 표를 행사했는지, 3%룰이 어느 진영에 더 큰 영향을 줬는지, 국민연금의 선택이 어떤 결과를 만들었는지, 한화가 실제 캐스팅보터 역할을 했는지를 확인할 수 있다.
그리고 그 결과는 고려아연을 넘어 다른 대기업에도 하나의 선례가 될 수 있다.
기업 경영권을 결정하는 공식이 바뀌고 있기 때문이다. 과거의 공식이 '지분율 = 의결권 = 경영권'이었다면 개정 상법 이후에는 그렇게 단순하지 않다.
'지분율 → 법적 관계 → 의결권 제한 → 기관·소액주주 표심 → 경영권'이라는 훨씬 복잡한 방정식이 됐다.
오늘 고려아연 주총에서 시험대에 오르는 것은 최윤범과 MBK만이 아니다. 한국 기업 경영권의 새로운 '3% 수학'도 함께 시험대에 오른다.
A Test Case Watched Beyond Korea Zinc
The significance of today's vote extends beyond Korea Zinc.
The reason is the revised Commercial Act.
The meeting could provide a practical demonstration of how rules designed to restrict controlling-shareholder voting power and strengthen independent audit committees affect real corporate control.
Korea Zinc provides an unusually intense test case.
Both camps have spent substantial sums accumulating shares, while domestic and foreign institutional investors and strategic shareholders occupy important positions around them.
Changes to voting rules have now created a gap between economic ownership and actual voting power.
International investors are watching as well.
Bloomberg described the shareholder meeting as another escalation in the "battle for control" of Korea Zinc.
The vote will not by itself immediately transfer control of the company from one side to another.
But the result of the audit committee election could affect boardroom dynamics and the next stage of the control battle.
The bigger question comes after the votes are counted.
For the first time, investors will be able to examine how the aggregated 3% rule actually worked in a major corporate-control contest, which camp was affected more severely, what impact the National Pension Service's decision had and whether Hanwha effectively became a kingmaker.
The implications could extend well beyond Korea Zinc.
The traditional equation was relatively straightforward: ownership = voting power = control.
Under the revised rules, the equation is becoming considerably more complicated: ownership → legal relationships → voting restrictions → institutional and minority shareholder votes → control.
Today's Korea Zinc meeting therefore tests more than Choi Yun-beom and MBK.
It tests the new mathematics of corporate control in Korea.
