[Mir's Business Made Simple] Why Wall Street's Biggest Investors Are Betting on Korean Companies

Global investors are taking a growing interest in South Korean companies. Major private equity firms from the United States and Europe are expanding their presence in the country's mergers and acquisitions market. Their targets range from car rental operators and water purifier companies to enterprise software providers, consumer brands and port storage facilities.

According to the Financial Times, citing data from Dealogic, foreign private equity firms, either independently or alongside domestic investors, participated in more than 80% of South Korean private equity buyouts valued above 500 billion won so far this year. That compares with approximately 60% last year and just over 10% four years earlier.

What are these global investors seeing in Korean companies? Are they simply searching for inexpensive acquisitions, or have they identified new opportunities arising from structural changes in the Korean economy?

A closer examination of their strategies reveals several common priorities: predictable cash flow, loyal customers, opportunities to improve operations and a viable path to recovering their investments. Although the industries differ, the underlying investment logic is remarkably similar.

Why Rental Businesses Attract Investors: The Value of Recurring Revenue

US-based private equity firm TPG signed an agreement in August to acquire a 61.2% controlling stake in Lotte Rental from Lotte Group for approximately 1.31 trillion won. South Korea's Fair Trade Commission approved the acquisition in September.

Lotte Rental provides vehicle rental services. From an investor's perspective, however, the most valuable asset is not necessarily the vehicles themselves but the rental payments customers make over extended periods.

Long-term contracts provide visibility into future revenue. Vehicles can also be sold in the used-car market after their rental contracts expire, allowing the company to recover part of its investment. Although vehicle acquisition costs, financing expenses and fluctuations in resale values present risks, recurring contractual revenue provides a foundation for managing the business.

Cheongho Nice, acquired by global investment firm Carlyle, offers a similar business model. Carlyle completed its acquisition of Cheongho Group in August. The company sells and rents water purifiers, air purifiers and related household appliances.

A one-time product sale generates immediate revenue, while a rental agreement produces recurring payments throughout the contract period. Filter replacements and maintenance services provide additional customer contact and business opportunities.

Although the two companies operate in different markets, their long-term customer relationships help investors assess future earnings potential.

The acquisition of Cheongho Nice was also connected to succession issues within the founding family. The decision to sell a family-controlled business rather than transfer ownership to the next generation created an investment opportunity for global capital.

The ageing of Korean business founders, succession challenges and corporate restructuring are becoming important sources of potential transactions for international private equity investors.

Beyond Factories: Software, Brands and Customer Relationships

Private equity firms are not necessarily looking for manufacturers with extensive production facilities.

EQT's acquisition of Douzone Bizon and Bain Capital's investment in Echo Marketing illustrate how intangible assets can attract global investors.

Douzone Bizon provides accounting and enterprise resource planning software to businesses. Once a company adopts an enterprise software system, replacing it can require considerable time, expense and operational adjustments.

Customer retention, recurring software fees and opportunities to sell additional services are therefore important considerations for investors. The integration of cloud computing and artificial intelligence could create further growth opportunities by expanding services offered to existing customers.

Bain Capital's acquisition of Echo Marketing provides another example. Echo Marketing has expanded through its digital marketing operations and consumer brands, including the athleisure label Andar.

Its competitive strength cannot be measured solely by factories or production equipment. Brand recognition, repeat purchases and marketing efficiency all contribute to its business value.

Private equity investors may seek to increase that value by strengthening brand awareness, expanding distribution channels and improving operating efficiency.

Customer contracts at rental companies, enterprise customers at software providers and consumer brands all represent different forms of assets capable of generating future earnings.

Buy First, Borrow Later: The Financing Logic of Private Equity

The acquisition price is only one part of a private equity transaction. How the purchase is financed can be equally important in determining investment returns.

TPG's planned acquisition of Lotte Rental provides an example.

TPG arranged to finance the acquisition of the controlling stake with equity capital. Reports subsequently indicated that the firm was considering additional borrowing through an acquisition vehicle.

Using equity capital at the outset can reduce the risk of delays caused by financing conditions or difficulties in arranging large acquisition loans.

Borrowing after an acquisition may provide funds for additional share purchases or other investment needs. However, the execution, size and use of such financing depend on subsequent decisions.

Financing matters because the amount of equity committed by investors affects the return generated by changes in enterprise value.

Consider a simplified example. An investor acquires a company for 1 trillion won entirely with equity and later sells it for 1.2 trillion won. The gain is 200 billion won before expenses and taxes.

If the same acquisition is financed with 500 billion won in equity and 500 billion won in debt, the gain attributable to equity remains 200 billion won before interest and other costs, assuming the debt principal is repaid at exit. But the return relative to the initial equity investment is higher.

The reverse is also true. If the company's value falls, leverage can amplify losses for equity investors.

This is why private equity firms carefully assess cash generation, debt-servicing capacity and potential exit opportunities.

Buying and Selling Korean Businesses: How Private Equity Exits Work

The final stage of a private equity investment is the exit. Investors seek to realize returns by selling a business after improving its operations and value, or by taking it public.

A transaction involving KKR and Bain Capital illustrates this process.

KKR signed an agreement in September to sell Central Terminal Korea, a storage terminal business in Ulsan that it acquired in 2023, to Bain Capital.

CTK operates port storage infrastructure for petrochemical products and related materials. The company reported revenue of 45.2 billion won and operating profit of 14.9 billion won last year.

Unlike rental or consumer businesses, terminal operations generate revenue through storage services, facility utilization and operational efficiency.

What makes the transaction particularly noteworthy is that one global private equity firm is selling a Korean asset to another.

For KKR, the transaction represents an opportunity to recover capital. For Bain Capital, it represents an opportunity to pursue further value creation.

The same business can have different strategic value to different investors depending on their investment horizon, operating plans and expected returns.

This is why private equity firms consider potential exit opportunities from the beginning. They must assess not only how much a company can earn today but also which future buyers might value it more highly.

What Wall Street Really Sees in Korean Companies

The growing interest of global private equity firms in Korean businesses represents more than an increase in foreign acquisitions.

For Korean companies and founding families, selling a business can provide an opportunity to restructure operations, address succession challenges and secure capital. For buyers, acquisitions can create opportunities to improve profitability and develop new growth engines.

Corporate restructuring, succession challenges at midsized businesses and changes in governance are creating opportunities for global investors.

At the same time, efforts to recover investments through increased borrowing, dividends or asset sales may create tensions between financial returns, long-term investment and corporate stability.

Ultimately, global investment in Korean companies raises questions beyond ownership: how corporate earnings
